Effective Governance, Shared Objectives
The term “Governance” (used informally) refers to the set of principles, mechanisms, rules, and relationships that govern the management of a company (Corporate Governance).
It represents the framework through which fundamental business decisions are made, while also defining the methods and tools used to guide the business.
This concept encompasses a wide range of tools employed by the Board of Directors to define decision-making processes in a robust and transparent way, ensuring alignment with the company’s strategic objectives and core values.
Through our consulting services, we support you in the design, formalization, and implementation of the following Governance tools:
Code of Ethics
Issued by the Board of Directors, the Code of Ethics is a document that defines a set of principles aimed at guiding members of the organization to conduct their activities with honesty and integrity.
It outlines the organization’s core values, steering the decision-making process, and includes normative, educational, and motivational components.
Codes of Conduct
Codes of Conduct are documents that establish the practices and behaviors that individuals must adhere to—or avoid—in order to be part of and operate within an organization.
They set the practical rules, specifying what employees and collaborators must and must not do while acting on behalf of the organization.
The main Codes of Conduct include:
- Anti-Corruption Code of Conduct
A preventive measure against corruption, regulating conduct towards Public Officials and those providing Public Services, as well as between private parties (private-to-private corruption). - Anti-Money Laundering Code of Conduct
A tool to prevent employees and the company from becoming involved in money laundering related to illicit or criminal activities. It outlines the company’s compliance with national and international anti-money laundering regulations, along with the expected behaviors of those acting on behalf of the company. - Code of Conduct under Legislative Decree 231/2001
Defines the behavior required of employees and all those acting on behalf of the organization to prevent the commission of predicate offenses as outlined in Legislative Decree 231/2001. - Code of Conduct for the Respect of Human Rights
Details how the company promotes human rights and good working conditions through the implementation of the International Labour Organization (ILO) core labor standards.
Business Model Canvas
The most widely used tool for designing and documenting a company’s business model.
Its purpose is to visually represent, within a single document, how the company creates, delivers, and captures value.
Enterprise Risk Management
A tool for managing the various risks associated with the external environment, business processes (financial, operational, delegation of authority, IT, integrity), and decision-making information (process and operational data, corporate reporting, strategic and environmental factors).
